Practice Emphasis:

Katie’s practice focuses on employee benefits and nonprofits/tax-exempt organizations.

Employee Benefits

  • Katie advises employers of all sizes on the design and administration of retirement and welfare benefit plans and deferred compensation arrangements, including church and governmental plans. She also advises the sponsors of multiple employer welfare arrangements (MEWAs).
  • She advises clients on benefits compliance matters including the Affordable Care Act, COBRA continuation coverage, reporting and disclosure obligations, and plan administration.
  • She advises clients with respect to employee stock ownership plans (ESOPs) and ESOP transactions. She also assists clients with employee benefits issues that arise in connection with mergers and acquisition transactions.
  • Katie’s practice also includes payroll tax compliance matters.

Nonprofit and Tax-Exempt Organizations

  • Katie advises current and future non-profit and tax-exempt organizations on all aspects of the organizational life cycle, including startup, obtaining determination letters, ongoing compliance and governance matters, reinstatement after revocation, and dissolution. She has experience working with 501(c)(3) public charities, private foundations, supporting organizations, 501(c)(4) social welfare organizations, 501(c)(6) business leagues, and VEBAs exempt under Code Section 501(c)(9).
  • She works with clients to develop and review key policies including conflict of interest, gift acceptance, and fund administration policies.
  • She advises nonprofit and tax-exempt organizations on subsidiary and affiliate formation, conversions, asset sales, member substitutions, and similar transactions.
